PROPOSED DISPOSAL OF THREE PARCELS OF FREEHOLD LAND WITH A TOTAL NET LAND AREA MEASURING APPROXIMATELY 948.826 ACRES LOCATED IN MUKIM KAPAR, DISTRICT OF KLANG, SELANGOR (KAPAR LAND) TO SIME DARBY PROPERTY (BUKIT TUNKU) SDN BHD (SDPBT), A WHOLLY-OWNED SUBSIDIARY OF SIME DARBY PROPERTY BERHAD (SD PROPERTY) (PROPOSED DISPOSAL)

In conjunction with the de-merger of Sime Darby Berhad to create three separate and independent listed companies with distinct businesses in 2017, the Company had, on 25 August 2017, entered into nine call option agreements with SD Property, pursuant to which call options have been granted to SD Property to purchase the legal and beneficial ownership of and titles to certain parcels of land owned by the Company, at any time during the option period of five years from the date of listing of the Company on 30 November 2017.

 

SD Plantation wishes to announce that the Company has, on 29 August 2022, received from SD Property a notice to exercise the call option under the relevant call option agreement for the acquisition of the Kapar Land (Kapar Land Option Agreement) by SDPBT at a purchase price of RM618,000,000, being the market value of the Kapar Land based on the valuation conducted by Jones Lang Wootton.

In particular, a detailed announcement on the Proposed Disposal in accordance with Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad will be made later upon execution of the sale and purchase agreement between SDPBT and the Company for the Kapar Land.
