We refer to the Company’s announcements made on 24 February 2022, 1 April 2022, 26 May 2022, 10 June 2022, 27 June 2022, 14 July 2022, 15 July 2022 and 20 July 2022 in relation to the Acquisition (“Announcements”). Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those previously defined in the Announcements.

Pursuant to the Supplemental Letter dated 15 July 2022, AP F&B shall pay part of the Cash Consideration amounting to RM6.5 million to the Vendors within 3 months from the Completion Date, i.e. 19 October 2022 (“Payment Date”).

On behalf of the Board, Mercury Securities wishes to announce that AP F&B and the Vendors had on 18 October 2022 mutually agreed to extend the Payment Date to 19 January 2023.

For avoidance of doubt, save as disclosed above, all other terms and conditions of the SSA, including the Supplemental Letter, remain unchanged.
