FITTERS - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,862,402,877 NEW ORDINARY SHARES IN FITTERS DIVERSIFIED BERHAD ("FITTERS" OR THE "COMPANY") ("FITTERS SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.065 PER RIGHTS SHARE TOGETHER WITH UP TO 1,241,601,918 FREE DETACHABLE WARRANTS IN THE COMPANY ("WARRANTS") ON THE BASIS OF 3 RIGHTS SHARES TOGETHER WITH 2 FREE WARRANTS FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 17 MARCH 2023 ("RIGHTS ISSUE WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “Ex-Rights Issue” as from: 16 Mar 2023
2)    The last date of lodgment : 17 Mar 2023

3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct <3/4>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <3/4>, of the Transacted Price is applicable.

Remarks:-

The Abridged Prospectus together with the notice of provisional allotment and rights subscription form pursuant to the Rights Issue with Warrants (collectively, the "Documents") will only be despatched to the shareholders of FITTERS whose names appear in FITTERS' Record of Depositors as at 5.00 p.m. on 17 March 2023 ("Entitlement Date") ("Entitled Shareholders") and who have a registered address in Malaysia or who have provided the Share Registrar, Sectrars Management Sdn Bhd, with a registered address in Malaysia in writing by 5.00 p.m. on 17 March 2023.

The Documents are not intended to (and will not be made to) comply with the laws of any country or jurisdiction other than Malaysia, and are not intended to be (and will not be) issued, circulated or distributed in countries or jurisdictions other than Malaysia and no action has been or will be taken to ensure that the Rights Issue with Warrants complies with the laws of any country or jurisdiction other than the laws of Malaysia.

Entitled Shareholders who do not have a registered address in Malaysia for the service of documents and wish to provide a Malaysian address, should inform their respective stockbrokers and the Share Registrar, Sectrars Management Sdn Bhd, to effect the change of address by 5.00 p.m. on the Entitlement Date.
