Reference is made to the announcement on 30 March 2023 in relation to the Proposed Acquisition (“Announcement”). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.

On behalf of the Board, AmInvestment Bank wishes to announce that the Company had on 12 May 2023 entered into a supplemental letter agreement with the Vendors to vary, amend, altered and supplement certain terms of the SSA for the purposes of clarifying the manner and timing of payment of the Related Party Advances and Subsequent Related Party Advances (“Supplemental Letter Agreement”).

Further details of the Supplemental Letter Agreement are set out in the attachment.
