We refer to the announcements dated 27 April 2023, 2 May 2023 and 11 May 2023 in relation to the Proposed Disposal (collectively, “Earlier Announcements”). Unless otherwise defined, the definitions used throughout this announcement, shall have the same meaning(s) as those used in the Earlier Announcements.

On behalf of the Company, AmInvestment Bank wishes to announce that RW Miami and Genting Florida, LLC (GENM’s wholly-owned subsidiary) (“Genting Florida”) had on 17 May 2023 (United States Eastern date/time) entered into an amendment agreement to the SPA (“Amendment SPA”) with the Purchaser to amend the terms of the SPA to, among others, to reflect the Purchaser’s Election to Convert and to include Genting Florida as a party to the SPA.
