| Contents | Natural Bio Resources Berhad ("Natbio" or "the Company") wishes to announce that on 8 April 2009, the Company had acquired 51% equity interest in Synergy Distribution FZC ("SD") comprising 77 ordinary shares of United Arab Emirates, Dirham (“UAE Dhs.”) 1,000 each for a cash consideration of UAE Dhs. 77,000 (equivalent to RM75,000) (“Acquisition”).
SD is a company incorporated in Hamriyah Free Zone-Shj, United Arab Emirates as a private limited company under the Hamriyah Free Zone Authority pursuant to Sharjah Emiri Decree No (6) of 1995 on 2 November 2006. SD is principally engaged in general trading of goods. The issued and paid-up share capital is UAE Dhs. 150,000 comprising 150 ordinary shares of UAE Dhs. 1,000 each.
The Acquisition is not expected to have a material effect on the net assets, earnings, share capital, dividend and gearing of the Natbio for the financial year ending 28 February 2010.
None of the Directors and/or major shareholders of Natbio and/or persons connected to them have any interest, direct or indirect, in the Acquisition of New Company. |
